DIFC: Dubai’s common-law financial centre
DIFC is a financial free zone with its own English-language common-law framework and its own courts. Financial services are regulated by the Dubai Financial Services Authority (DFSA); other companies are registered with the DIFC Registrar of Companies.
DIFC is the natural home for banks, asset managers and fintechs, but it is also used for holding companies, family foundations and special purpose vehicles that benefit from common-law certainty. We advise on whether DIFC is the right home for your structure and plan the tax and banking around it.

Why DIFC
DIFC gives international investors a legal system they recognise, in the middle of Dubai.
Common-law framework
DIFC has its own civil and commercial laws based on English common law, applied by the independent DIFC Courts.
Independent regulator
Financial services are licensed and supervised by the DFSA, which follows international standards.
Holding & SPV structures
Prescribed companies and foundations offer efficient vehicles for holding assets and family wealth.
Financial ecosystem
Banks, asset managers, law firms and auditors are all on the doorstep.
100% foreign ownership
Full ownership with no local partner, and free repatriation of profits and capital.
Fintech & innovation
An innovation licence and a large fintech community support early-stage technology businesses.
- Holding companies & SPVs
- Family offices & foundations
- Asset & wealth managers

- Board resolution approving the DIFC company
- Certificate of good standing
- Passport copy of the appointed manager

Why Choose a DIFC Structure
DIFC suits structures where legal certainty and reputation matter as much as cost.

100% foreign ownership
Possible 0% Corporate Tax on qualifying income
Prescribed companies for holding and SPVs
Foundations for family wealth and succession
Respected, independent financial regulator
Banks and advisors on the doorstep
Tax & Compliance Position: DIFC
Companies in DIFC can pay 0% Corporate Tax on qualifying income, but only if they meet the Qualifying Free Zone Person conditions every year. We check this before you choose the zone, not after.
0% on qualifying income · 9% on the rest
To be a Qualifying Free Zone Person, the company needs real substance in the zone, qualifying income, audited financial statements and arm’s-length dealings with related parties. Taxable income that doesn’t qualify is taxed at 9% above AED 375,000.
5% standard rate · same rules for services
Registration is mandatory once taxable supplies pass AED 375,000 in 12 months and optional from AED 187,500. Free zone services are taxed exactly as they are on the mainland.
Ongoing Compliance Obligations
- Corporate Tax return within 9 months of year end
- Audited financial statements (needed for QFZP status)
- VAT returns once registered
- Annual licence renewal with DIFC
- Office or flexi-desk lease renewed with the licence
- UBO register kept up to date
